Company register research: identify the right legal entity

A proposal or business relationship needs clarity about the company involved. A brand, corporate group and prospective contracting party may be different entities. Company register research places available company information in the context of its original source and date. This supports focused checks of business records and early questions about responsibilities.

Identify the correct company

Start with the full company name, registered location and, where known, the registry and registration number. A website or brand name can help with identification. Where names are similar, subsidiaries exist or several locations are involved, the legal entity being examined must remain clear.

Your specific question also matters: are you identifying a prospective contracting party, reviewing a published change or making sense of existing documents? That question determines which information is relevant to the next decision.

Keep the original source and document date together

For German companies, the register portal of the federal states and the Company Register provide central access to register information. The analysis references the original record used. The register portal itself notes that structured information may sometimes differ from the current extract.

  • Company: Which entity and register entry have been identified?
  • Date: When were the entry and document issued, and when was the information retrieved?
  • Statement: What information is actually contained in the source?
  • Open question: What relevance to your assignment still needs confirmation?

Apply the information to the business relationship

Consider an editorial example. A proposal names a familiar corporate group, while a supplied document relates to a subsidiary. The next useful question is which entity intends to place the order and which details belong in the proposal. An identifiable register change can also prompt a review of existing business records.

Legal assessment, current powers of attorney and financial capacity each require appropriate additional evidence. Restricted or paid sources are included only with suitable authorisation and an agreed scope.

Our glossary entry on evidence explains why a statement belongs with its source. Our article on researching both sides shows how information becomes a concrete follow-up question.
